These Terms of Use ("Terms") govern your access to and use of the PromptSync mobile application ("App"), provided by PromptSync ("Service Provider," “we,” “us,” or “our”). The App is offered as a Freemium service ("Service"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

1. License and Scope

1.1 License Grant We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, strictly in accordance with these Terms. All rights not expressly granted herein are reserved by the Service Provider.

1.2 Modifications and Updates We reserve the right to modify, update, or discontinue the App or any features thereof at any time without prior notice. You acknowledge that it is your responsibility to monitor for updates and install them. Continued use of the App following any changes constitutes acceptance of those changes.

2. Acceptable Use

2.1 Compliance with Laws You agree to use the App in compliance with all applicable local, national, and international laws and regulations, including, but not limited to, laws related to intellectual property, privacy, and data protection.

2.2 Prohibited Activities You must not use the App in any manner that:

  • Violates or infringes upon the rights of any third parties, including intellectual property rights.
  • Involves unauthorized access to, or use of, any servers, networks, or systems.
  • Transmits viruses, malware, or other harmful code.
  • Harasses, defames, or otherwise harms any individual or entity.
  • Circumvents or attempts to circumvent security measures implemented by us or our service providers.

2.3 Content Responsibility You are solely responsible for the content of scripts and text you create, import, or use within the App. The Service Provider does not review, monitor, or endorse any user-created content.

3. Intellectual Property

3.1 Ownership All trademarks, copyrights, database rights, and other intellectual property rights in and to the App are owned by or licensed to the Service Provider. You are granted no ownership rights in the App or associated materials.

3.2 Restrictions You must not copy, reproduce, distribute, modify, create derivative works from, reverse engineer, decompile, or otherwise attempt to extract the source code of the App without our prior written consent.

3.3 Speech Recognition Technology The App utilizes on-device speech recognition technologies provided by Apple and open-source components. These technologies are subject to their respective licenses and terms. Your use of the App constitutes acceptance of these underlying terms.

4. Subscriptions and In-App Purchases

4.1 Freemium Model The App is provided under a Freemium model. Certain basic functionalities may be accessed free of charge, while Premium features require a valid subscription.

4.2 Apple App Store Subscriptions and in-app purchases are processed through Apple’s App Store. We do not store or process payment card details. Please review Apple’s terms and conditions for additional information.

4.3 Billing and Renewals If you choose to purchase a subscription, fees may be charged on a recurring basis. Your subscription will automatically renew unless canceled at least 24 hours before the end of the current billing cycle. You are responsible for managing your subscription in your device’s account settings.

4.4 Refunds Refund requests are handled by Apple in accordance with their refund policies. The Service Provider does not process refunds directly.

5. Microphone and Speech Recognition

5.1 On-Device Processing The App uses your device’s microphone for real-time speech recognition to enable the Speech Sync feature. All audio processing occurs entirely on your device and no audio data is transmitted to external servers.

5.2 Optional Feature Microphone access is optional and is only required for the Speech Sync scroll mode. You may use the App’s Fixed Speed mode without granting microphone permission.

5.3 No Liability for Recognition Accuracy Speech recognition accuracy may vary depending on factors such as background noise, accent, pronunciation, and device capabilities. The Service Provider makes no guarantees regarding the accuracy of speech recognition and shall not be liable for any issues arising from recognition errors.

6. Disclaimers and Limitations of Liability

6.1 No Warranties The App is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not warrant that the App will be error-free, uninterrupted, or meet your specific needs.

6.2 Connectivity and Data Charges Certain features (such as initial speech model downloads) may require an internet connection. You are responsible for any data charges incurred. We assume no liability if the App fails to operate due to lack of internet access.

6.3 Battery and Device Maintenance Speech recognition and real-time audio processing may increase battery consumption. You are responsible for ensuring your device is adequately powered and maintained. We will not be liable if you cannot use the App due to device-related issues.

6.4 Limitation of Liability To the maximum extent permitted by law, the Service Provider shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, revenue, or profits arising from or related to the use or inability to use the App.

7. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without prior notice, for conduct that we believe violates these Terms or is otherwise harmful. Upon termination, you must cease using the App and delete it from your devices.

8. Changes to These Terms

We may update or modify these Terms at any time. Changes will be posted within the App or on our official website (if applicable), and the “Last Updated” date will be revised accordingly. By continuing to use the App after any changes, you agree to the updated Terms.
